1) Objects
The name of the Club shall be Fishwick Hall Golf Club and the objects of the Club shall be to promote the game of golf social and non-political.
2) Management
A Council consisting of the Captain, Vice Captain, Chairman of Directors, the Immediate Past Captain, the Treasurer and the Secretary shall manage the club and up to 7 other persons all of whom shall have full voting rights hereunder.
The duly elected members of the Council shall by virtue thereof be the Directors of Fishwick Hall Golf Club Limited (The Company).
Council members shall be elected at the Annual General Meeting and shall hold office for two years except for the Treasurer and the Secretary who shall be elected for three years.
In the case of a vacancy, the Directors may fill the position until the next Annual General Meeting.
All Retiring Council members shall be available for re-election.
The authority of the Council shall be paramount until over-ruled by a General Meeting.
The Council may make bye-laws and regulations (not inconsistent with the Articles of Association) and do all such things as they may consider necessary and expedient in the interests of the Club whether expressly mentioned in the rules or not.
A quorum of the Council shall be two thirds of the Directors.
The Chairman of Directors, or his representative, shall preside at meetings of the Club and of the Council and in the event of an equality of votes shall have a second and casting vote.
3) Accounts
The Treasurer or the Secretary shall pay into such Bank as the Council may direct, to the credit of the Club, all monies received and shall submit a statement of the financial affairs of the Club to the Council as often as may be required and at the Annual General Meeting shall submit a statement audited by a professionally qualified accountant, duly elected for that purpose.
4) Secretary
The Secretary shall keep in a book correct minutes of the proceedings of all meetings of the Club and of the Council and shall produce such books at all meetings therof. He shall summon all meetings of the Club and Council. He shall also enrol members and give notices required by the Rules.
5) Membership
Membership of the Club is open to all the Community without discrimination. However, limitation of membership according to available facilities is allowable on a non discriminatory basis.
Except for Life members (see Rule 6b) every candidate including former members shall be (in writing) proposed by one full member and seconded by one other full member to whom the candidate shall be known personally and who shall be responsible for the eligibility of the candidate.
Application forms shall be as prescribed by the Council and signed by the proposer and seconder and shall be submitted to the Council for approval.
The Council may refuse membership, or remove it, only for good cause such as conduct or character likely to bring the Club or sport into disrepute. Appeal against refusal or removal may be made to the members.
On election, the Secretary shall forthwith notify the new members and supply a copy of these Rules and any Bye-laws and regulations made herein.
The Council upon election of a Full member may direct the Company to issue one available ordinary £1.00 share therein to such person and the consideration therefore shall be £1.00 and shall be deemed to have been paid as part of any Entrance fee determined under rule 7(a) hereof.
6) Categories of Membership
There shall be the following categories of membership.
Full members who shall have voting rights.
Life members who shall have voting rights and shall be elected from Full members on the recommendation of the Council by two thirds of those Full members present at a General Meeting of the Club.
Life Members shall be entitled to all privileges and subject to all duties of a Full member without further payment, annual or otherwise except in respect of any payment which may be due to the Company under its Articles of Association.
Associate members who shall be entitled to all the privileges and subject to the same obligations as Full members and Life members but shall have no voting rights.
Junior members shall be persons under the age of eighteen (18) years on the 1st January of any subscription year.
Young Members - From the age of 18 years and until the age of 25 years, a stepped scale of subscription will apply:
From the age of 18 years from the 1st day of the subscription year 30% of the full male/female rate.
From the age 19 years, from the 1st day of the subscription year 50% of the full male/female rate.
From the age 20 years and until the age of 25 years, from the 1st day of the subscription year 75% of the full male/female rate.
Any young member who is in full time education, the 30% rate should apply until the age of 21 years. No discounts are allowable after the age of 25 years.
Neither Young nor Junior members shall have voting rights and shall have limited use of the course at the times and on the days as displayed by the Council on the Club Notice Board.
Temporary members who shall be visitors who may be allowed to play golf on payment of an appropriate green fee as fixed by the Council before playing. A ticket must be obtained bearing the date of issue and the period for which granted and produced on the request of an officer or official.
Five day members who shall only use the course on Mondays to Fridays, shall have no voting rights and may not play in weekend competitions.
Social members who shall be entitled only to use the facilities of the Club House and shall have no voting rights.
Country Members who can play in midweek competitions, and on any other day, including weekends and bank holidays, providing the course is free to play.
They cannot play in major competitions.
A Country member shall reside a minimum of 75 miles from the clubhouse, be a member of a Golf Club that holds their current handicap certificate.
A Country member shall have no voting rights.
NOTE: The number of members over 21 without voting rights shall at no time be significant in relation to the total membership.
7) Fees & Subscriptions
Such entrance fee and such annual subscription as shall from time to time be determined by the Council shall be payable by a member immediately following election to membership and subsequent annual subscriptions shall become due on 1st January.
In the event of payment not having been made by the due date the annual subscription shall be increased by 5%.
No member may compete for a prize until the due Entrance Fee, Annual Subscription, Locker Rent and any other moneys owing to the Club are paid.
In the event of any subscription remaining unpaid on the 1st day of March the Council may remove a member from the membership list.
The election of a new member shall be declared null and void at the Council's discretion if the entrance fee and subscriptions are not paid within 1 month of election.
All golfing members of any category shall pay any entrance fee and subscription as set by the Directors.
Other members shall pay the full annual subscription whenever elected.
8) General Meetings
The financial year end shall be the 31st December and the Annual General Meeting shall be held not later than the month of April in each year for the approving of accounts, election of officers and other general business.
The Council shall be capable of summoning a General Meeting at any time on Reasonable notice and 25 members with full voting rights may require the Secretary to call such a meeting to be held not more than 21 days after having been so requested in writing.
Voting at all general and council meetings shall be by ballot if desired by a majority of those present but otherwise shall be by a show of hands.
9) Intoxicating Liquor
The opening hours of the Club and the permitted hours for the supply of intoxicating Liquor shall be such as shall from time to time be displayed on the Club Notice Board and notified to the Licensing Authority.
The Directors of the Club may from time to time delegate any of their powers to such committee or committees, consisting of one or more member or members of the Club, and not necessarily a Director or Directors, as they shall think fit to appoint, and may recall or revoke any such delegation or appointment.
No committee concerned with the purchase for the Club or with the supply by the Club of intoxicating liquor shall include any members who are not Directors.
Any committee shall, in the exercise of the powers so delegated, conform to any regulations that may be prescribed by the Directors.
- The Council shall have power to authorise the supply of intoxicating liquors during its permitted hours to non-members attending the Club premises when functions are authorised by the Council provided always that:
Such a function is a function promoted by Fishwick Hall Golf Club; or
Such a function is promoted by and is the responsibility of a member of the Club who is present at the function; or
Such other function not being provided for by paragraphs (a) and (b) hereof, being limited to 12 functions in any one year.
Such other functions in paragraphs (a), (b) or (c) hereof shall be functions for the purpose of raising money for the funds of the Club and to discharge the liabilities of the Club.
10) Vistors & Guests
A book shall be kept in the Club House in which the name of visitors and guests shall be entered along with the name of any introducing member.
A visitor (other than a temporary member) or guest shall not be admitted to any of the privilages of the members of the Club except those of using the Club House and the Course.
No visitor or guest shall be eligible to compete in any Club competition.
11) Alterations
These Rules may be altered at the Annual General Meeting, or at a Special General Meeting convened for the purpose.
Notice of any alteration of any Rule proposed and seconded by a member must be given in writing to the Secretary at least 21 days before the date of such meeting. Both members must attend such meeting.
The Secretary shall display a copy of any proposed alterations on the Club Notice Board at least seven days before the date of the meeting.
12) Cessation of Membership
Expulsion
The Council shall have the power to expel any member who shall infringe any of these rules or whose conduct whether within the Club House or elsewhere shall in their opinion render that person unfit for membership of the Club; but no member shall be expelled without being first summoned before the Council and full opportunity afforded to explain such conduct, nor unless a majority of two-thirds of the full Council shall vote for such expulsion.
Every member so summoned shall receive at least three clear days notice in writing from the Secretary, which shall contain a short statement of the allegation.
Any member so expelled by the Council shall have the right of appeal to a special General meeting of the members of the Club. Such appeal must be lodged with the Secretary in writing within seven days of the receipt of the Council's decision.
A two-thirds majority of the members attending such a meeting shall be required before the Council's decision is ratified.
No member whose membership has been terminated under Rule 12 shall be introduced by any other member as a visitor to any part of the Club premises nor shall he or she ever be eligible for re-election as a member.
Resignation
Any member wishing to resign from the Club shall give notice of such intention in writing to the Secretary by not later than the 30th November in any year and shall pay all arrears due at the date of such notice.
Providing this criteria is followed any member leaving the Club who retains a Social membership may rejoin the Club, within 5 years, without paying an entry fee.
Upon the cessation of membership of any full or life member (howsoever caused) any ordinary share of such member shall be forthwith transferred in accordance with the directions of the Council.
13) Dissolution
The full members may at any time resolve to wind up the affairs of the Club subject to a resolution being passed by a least two thirds of such full members present and voting at a Special General Meeting convened by notice in writing and sent by post to each such member and stating the object thereof and such resolution shall be confirmed by a majority of such full members present and voting at a subsequent Special General Meeting similarly convened and held not less than 21 days after the previous meeting.
Upon dissolution, any liabilities of full members shall be as limited by paragraph 5 of The Memorandum of Association of the Company and any assets shall be disposed of in accordance with paragraph 7 thereof.
